Terms of Service

These Terms of Service ("Terms") govern your access to and use of SpinLocal (the "Service"), operated by SpinLocal (ABN 37 248 421 348), based in Sydney, Australia. By subscribing to or using the Service you agree to these Terms.

1. The Service

SpinLocal is a software-as-a-service tool that lets restaurants and cafés run a prize-wheel reward, collect customer feedback, and redirect 4–5★ guests to Google Reviews while keeping 1–3★ feedback private to the venue.

2. Subscription plans & billing

  • Plans are billed in advance, either monthly or annually, via Stripe.
  • All prices are in AUD and inclusive of GST where applicable.
  • Your subscription renews automatically until cancelled.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.

3. Refunds

We do not provide refunds for partial months or unused portions of an annual subscription. Refunds may be issued at our discretion where required by Australian Consumer Law.

4. Acceptable use

You agree not to:

  • Use the Service to send unsolicited marketing in breach of the Spam Act 2003.
  • Attempt to manipulate, fake, or incentivise dishonest Google reviews in breach of Google's policies.
  • Resell, sublicense, reverse-engineer or copy the Service.
  • Use the Service to collect or process data unlawfully.

5. Reviews & filtering

The Service routes guests who rate 4–5★ to your Google Business Profile and keeps 1–3★ feedback private to the venue. We do not block, hide, or remove reviews on Google itself; whether a guest ultimately posts a review is entirely their choice. We make no guarantee of any specific rating, ranking, review volume, or business outcome.

6. Customer data

You remain the controller of any end-customer data you collect through the Service. You are responsible for ensuring you have lawful grounds (including SMS consent) to use that data. Our handling of personal information is described in our Privacy Policy.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and third-party outages (Stripe, SMS gateway, Google, hosting) may cause downtime.

8. Limitation of liability

To the maximum extent permitted by law, SpinLocal is not liable for indirect, consequential, incidental, or special damages, including loss of revenue, customers, or reputation. Our total aggregate liability is limited to the fees you paid in the 3 months preceding the claim. Nothing in these Terms excludes consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded.

9. Suspension & termination

We may suspend or terminate your account for breach of these Terms, non-payment, or unlawful use. You may close your account at any time from your dashboard.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect.

11. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.
